Terms of Service

1. Acceptance
By creating an account or using Puana ("the Service"), you agree to these Terms. If you don't agree, don't use the Service. If you accept on behalf of a business, you represent that you have the authority to bind that business.
2. The Service
Puana provides original-music streaming with commercial licensing for businesses, multi-device synchronization, scheduling tools, and per-track perpetual commercial licenses for purchase.
Listen Free (consumer): unlimited streaming for personal, non-commercial listening. One device. No commercial license.
Business (one location): $19/month, $190/year, or $540/3 years. Commercial license, scheduling, multi-device sync (up to 3 devices on the same Wi-Fi network), analytics, and access to all premium tools.
Business (multi-location, 2–25 locations): continuous per-location discount. Each location after your first receives an additional 5% discount, cumulative, capped at 25% off. Self-serve in your account.
Business Enterprise (26+ locations): custom pricing starting at $14/month per location, plus services priced separately (SSO, MSA, dedicated customer success manager, custom playlists, multi-region support).
Founding Member discount: the first 100 paying business customers receive 25% off forever on their first location via the FOUNDING100 promotional code, applied at checkout while spots remain. Locations two through twenty-five bill at the standard continuous-discount rate (no Founding stack).
3. Free trial (14 days)
Eligible new accounts receive a 14-day Business trial. During the trial you have full access to Business features.
Default flow (Stripe Checkout):on signup we collect a payment method so the music doesn’t pause when the trial ends. The card is not charged during the 14-day trial. On day 14, your card is charged for the plan you selected and recurring billing begins. You may cancel anytime before day 14 from your billing portal, and you will not be charged.
No-card path (where offered): some surfaces of Puana may offer a 14-day trial without entering a payment method. In that case, no charge is made when the trial ends — your account simply reverts to the consumer free tier, and you can choose a paid plan from your account when ready.
One trial per email address. Existing customers and previously-trialed accounts are not eligible for a second trial.
4. Subscriptions, billing, and renewal
Subscriptions purchased on the web are billed by Stripe. Subscriptions purchased through the iOS app are billed by Apple via in-app purchase. The same account may have only one active subscription source at a time.
Auto-renewal: all paid subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. Monthly plans renew monthly, annual plans renew yearly, and 3-year plans renew every 3 years. You may turn off auto-renewal at any time.
Cancellation: for web subscriptions, use the Stripe Billing Portal in your account settings. For iOS subscriptions, use Settings → Apple ID → Subscriptions in iOS. Cancellation stops the next renewal; service continues through the end of the current billing period.
Price changes: we may change prices for new sign-ups at any time. Existing customers receive at least 30 days' notice before any renewal at a higher price.
5. Refund policy (30-day money-back guarantee)
Monthly subscribers: if you cancel within 30 days of your initial subscription, we refund the most recent charge in full. Email hello@puana.app from your account email and we refund within 5 business days.
Annual subscribers: 30-day full refund. After 30 days, we refund unused months on a pro-rated basis, less a one-month service fee.
3-Year subscribers: 30-day full refund. After 30 days, you may cancel for a pro-rated refund of the unused term less a one-month service fee. The discount you received for committing to 3 years is not clawed back from the refund.
iOS subscribers: Apple processes all refund requests for iOS in-app purchases. Use reportaproblem.apple.com within Apple's refund window.
Per-track licenses: non-refundable once the download has been accessed (the license is delivered the moment the file is fetched).
6. Music licensing — what you may and may not do
Free (consumer) tier: license is for personal, non-commercial listening only. You may NOT play Puana music in any commercial setting (cafe, retail, restaurant, gym, salon, office, etc.) without an active Business subscription or a per-track license.
Business subscription: grants you a non-exclusive, non-transferable, revocable commercial public-performance license for the locations and devices specified by your active subscription. The license is valid only while your subscription is active.
- Permitted: public playback at your licensed location(s) over your registered devices, including in-store, patio, drive-through, and waiting areas you control.
- Not permitted: rebroadcasting via radio, webcasting, livestreaming the music to non-customers, synchronizing with audio-visual content, or redistributing the audio files in any form.
- Multi-location: you must register every location where Puana plays. Playing on more locations than your subscription allows breaches the license; we may detect this via device IP signals (see Privacy Policy § 1) and ask you to upgrade.
Per-track license ($19): grants a non-exclusive, perpetual, worldwide commercial license to the purchased track for use in any of your commercial projects. You may reproduce, distribute, publicly perform, and display the track in your work in any format. Re-licensing or resale to third parties is prohibited without a separate written agreement. Sublicense is limited to your direct employees and contractors. Per- track licenses survive cancellation of your subscription.
7. Account responsibilities
- You are responsible for keeping your credentials secure.
- Provide accurate billing and contact information.
- One account per business. Sharing accounts across separate businesses violates the licensing terms.
- You are responsible for all activity under your account.
8. Prohibited use
- Redistributing, reselling, or sublicensing music without a per-track license.
- Circumventing access controls, watermarks, or audio protection.
- Using automated tools to scrape, bulk-download, or mirror content.
- Impersonating others, providing false information, or misrepresenting your business or location count.
- Using Puana to play music at locations not covered by your active subscription.
- Reverse engineering the app, the API, or the curation algorithms.
9. Suspension and termination
We may suspend or terminate accounts that breach these Terms, attempt fraud, or violate the licensing scope. We try to give notice and a chance to cure when reasonable. You may delete your account at any time from your settings; deletion ends the subscription immediately without refund of the current period (subject to § 5).
10. Disclaimers
Puana is provided "as is" without warranties of any kind. We don't warrant that the Service will be uninterrupted, error-free, or that the music selection will perfectly match every business situation. Use of the Service is at your own risk.
11. Limitation of liability
To the maximum extent permitted by law, Puana is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data. Our aggregate liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.
12. Governing law and disputes
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Michigan, except where prohibited by your local law.
13. Changes
We may update these Terms as the Service evolves. We post the effective date and version at the top, and email registered users when changes materially affect their rights. Continued use after the effective date constitutes acceptance.
